PLEASE READ THIS END USER LICENSE AGREEMENT ("Agreement") CAREFULLY BEFORE DOWNLOADING, INSTALLING, ACCESSING OR USING DAILY WORD.

BY DOWNLOADING, INSTALLING, ACCESSING OR USING DAILY WORD, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, ACCESS OR USE DAILY WORD.

This Agreement is between you and Unplugged Technologies Ltd. ("Unplugged," "we," "us," or "our") and governs your use of the Daily Word mobile application, including any updates, associated software, features, services and documentation made available by Unplugged (collectively, "Daily Word" or the "App").

1. About Daily Word

Daily Word is a free educational and informational Android application designed to help users understand the types and breadth of information that a mobile application may be capable of obtaining from a mobile device.

Daily Word accesses information made available to it through standard Android application functionality and interfaces, including information generally available to Android applications and information made available through permissions that you expressly grant on your device. Daily Word is not designed to exploit vulnerabilities, bypass Android protections, circumvent operating-system permissions, or otherwise obtain unauthorized access to your device.

Depending on your device, Android version, settings and permissions, Daily Word may demonstrate that information is available to an application even where a user may not expect such information to be available.

The purpose of Daily Word is educational. Daily Word does not itself determine whether any third-party application actually collects particular information, nor does it determine whether any particular data practice is lawful or unlawful.

2. Eligibility

Daily Word is intended only for individuals who are at least 18 years old. By using Daily Word, you represent that you are at least 18 years of age and legally capable of entering into this Agreement.

Daily Word is not directed to children, and you may not permit a person under 18 to use the App through your account.

3. License

Subject to your compliance with this Agreement, Unplugged grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable license to download, install and use Daily Word on an Android device that you own or control solely for your personal, lawful and non-commercial use.

Daily Word is licensed, not sold. Unplugged and its licensors retain all right, title and interest in and to Daily Word except for the limited license expressly granted to you under this Agreement.

4. Authorized Devices Only

You may use Daily Word only on a device that you own or are legally authorized to control.

You may not install, configure, use or attempt to use Daily Word to monitor, inspect, collect or access information relating to another person or another person's device without lawful authorization.

Daily Word may not be used for stalking, covert surveillance, credential collection, unauthorized employee monitoring, unauthorized investigation, or any other purpose that violates another person's privacy or applicable law.

5. Device Permissions and Information

Daily Word may request access to device permissions and capabilities made available by the Android operating system in order to demonstrate the types of information that may be accessible to a mobile application.

The permissions requested may vary depending on your device, Android version and the functionality being demonstrated. You may decline or revoke permissions through your device settings, although doing so may limit the information Daily Word can demonstrate.

Where Daily Word requests camera access, the camera is used solely to scan the enrollment QR code. Daily Word does not capture or save photographs or video, and the App declares no storage or media permissions.

Daily Word may also access information that Android makes available without requiring a runtime permission. The fact that Daily Word is technically capable of accessing information does not necessarily mean that every application installed on your device collects, stores or transmits that information.

6. Clipboard and Sensitive Information

Daily Word may, where permitted by Android, access and display content available through your device's clipboard. Clipboard content can contain sensitive information depending on what you or another application has placed there, including potentially authentication codes, account information, communications, financial information or health information.

You should not intentionally place passwords, payment-card information, authentication credentials, health information or other sensitive information onto your clipboard for the purpose of testing Daily Word.

7. Accounts and Access

Daily Word may create or use an account identifier, such as a unique code, email address, phone number, or other identifier, together with associated device or authentication information necessary to provide access to the applicable assessment and associated device data.

An individual user can access records associated with that user's device through the credentials or access mechanism provided for the applicable assessment. A user may voluntarily share the applicable access URL or credentials with another person, in which case that person may be able to access the user's data.

You are responsible for maintaining the confidentiality and security of your credentials and access information.

8. Assessments Conducted by Organizations

Daily Word may be provided as part of an assessment conducted by your employer, a company, research institution or other organization (an "Assessment Organization").

If you participate in such an assessment, information collected from your device may be transmitted to a centralized management server operated either by Unplugged or by the Assessment Organization.

You understand that authorized administrators of the applicable management server may have access to information collected from participating devices. Where tenant or team functionality is enabled, an authorized Tenant Administrator may have access to information collected from devices associated with that tenant or team.

Before participating in an organizational assessment, you should review any additional notice provided by the Assessment Organization regarding its purpose for conducting the assessment and its use of the resulting information.

The Assessment Organization is independently responsible for any use it makes of information obtained through Daily Word and for ensuring that its assessment complies with applicable law.

9. Requirements for Assessment Organizations

An Assessment Organization may use Daily Word only for lawful, authorized assessments and must provide participants with any disclosures, notices and consent mechanisms required by applicable law.

An Assessment Organization may not use Daily Word for covert surveillance, unauthorized employee monitoring, stalking, credential collection, discriminatory profiling or any other purpose that is unlawful or materially inconsistent with the educational and assessment purpose of Daily Word.

Unless otherwise expressly agreed in writing with Unplugged, an Assessment Organization operating its own centralized management server must terminate the applicable assessment server or server instance and delete assessment information no later than fourteen (14) days after the applicable assessment period ends, except to the extent retention is required by applicable law.

The Assessment Organization is responsible for implementing and maintaining appropriate security controls for any management server it hosts, including access controls, storage security, backups and, where appropriate, encryption.

10. Privacy

Your use of Daily Word is subject to the Daily Word Privacy Policy, which explains the information processed by Daily Word, where that information is sent, who may access it and how it is handled, including the differences between customer-hosted and Unplugged-hosted deployments and any optional server-side geolocation lookups enabled for an assessment.

Because the central purpose of Daily Word is to demonstrate information that may be accessible from a mobile device, the App necessarily processes certain information from or about your device. Where required, Daily Word or the applicable Assessment Organization will provide disclosure and obtain consent or permissions before particular access occurs.

11. Educational Purpose; No Privacy or Security Audit

Daily Word is provided for educational and informational purposes. The information displayed through Daily Word may not identify every type of information available from your device, every transmission, every recipient, every technical mechanism, or every privacy or security risk.

Daily Word should not be relied upon as a complete privacy or cybersecurity audit, cybersecurity protection, legal or compliance advice, evidence that a particular application or company has collected particular information, evidence that any person or company has violated law, or a guarantee that information not shown by Daily Word cannot be accessed, collected or transmitted by another application or service.

The availability of information may differ based on device manufacturer, Android version, operating-system configuration, permissions, installed software, geographic location, network configuration and other factors outside Unplugged's control.

12. No Guarantee of Privacy or Security

Daily Word is intended to demonstrate and increase awareness of data availability. It is not designed to make your device anonymous, prevent tracking, block data collection, secure communications or prevent another application from accessing information.

Use of Daily Word does not guarantee privacy, anonymity or security. You remain responsible for your device settings, permissions, applications, accounts and security practices.

13. Restrictions

Except to the extent expressly permitted by applicable law, you may not, and may not enable another person to:

·      copy, modify, adapt, translate or create derivative works of Daily Word;

·      reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of Daily Word;

·      circumvent or attempt to circumvent any technical restriction or security mechanism;

·      interfere with, disrupt, overload, damage or gain unauthorized access to Daily Word or its infrastructure;

·      scrape, crawl or use automated means to access or extract information from Daily Word except with Unplugged's prior written permission;

·      rent, lease, lend, sell, sublicense, distribute or commercially exploit Daily Word;

·      use Daily Word to access or attempt to access another person's data or device without authorization;

·      use Daily Word for surveillance, stalking, harassment, credential theft, unauthorized monitoring or other unlawful purposes;

·      introduce malware or malicious code;

·      impersonate another person or misrepresent your authorization to use a device; or

·      use Daily Word in violation of applicable law or the rights of another person.

14. Ownership and Intellectual Property

Daily Word, including its software, design, interfaces, graphics, trademarks, documentation and other proprietary materials, is owned by or licensed to Unplugged and is protected by applicable intellectual-property laws.

Except for the limited license granted by this Agreement, no right or license is granted to you by implication, estoppel or otherwise.

Daily Word may include third-party and open-source software components that are subject to separate license terms. Applicable third-party license terms and notices are available within the App under the Open Source Licenses or Legal Notices section.

15. Feedback

If you voluntarily provide suggestions, ideas or feedback concerning Daily Word, you grant Unplugged a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable right to use such feedback for any lawful purpose without compensation to you, provided that Unplugged will not publicly attribute such feedback to you without your permission.

This provision does not authorize Unplugged to use information collected through Daily Word for purposes inconsistent with the Daily Word Privacy Policy.

16. Free Service

Daily Word is currently provided without charge. Unplugged does not currently intend to charge users for use of Daily Word. Nothing in this Agreement requires Unplugged to continue providing Daily Word indefinitely.

17. Changes, Updates and Discontinuation

Unplugged may modify, update, suspend or discontinue Daily Word or any feature of Daily Word at any time, including for technical, security, legal, operational or business reasons.

We may provide software updates from time to time. Some updates may be required for continued operation of the App. To the extent permitted by applicable law, Unplugged is not liable for modification, suspension or discontinuation of Daily Word.

18. Termination

You may stop using Daily Word at any time and may uninstall the App.

Unplugged may suspend or terminate your access to Daily Word if you materially violate this Agreement, misuse the App, create a security risk, or where suspension or termination is reasonably required by law.

Provisions that by their nature should survive termination, including intellectual-property provisions, disclaimers, limitations of liability and dispute-resolution provisions, will survive termination.

19. Third-Party Platforms

Daily Word may be distributed through Google Play, the UP Phone App Center, Unplugged's website or other authorized distribution channels. Your use of a third-party distribution platform may also be subject to the terms of that platform.

Unplugged is responsible for Daily Word as between you and Unplugged, subject to this Agreement. No third-party app store is responsible for providing maintenance or support for Daily Word except to the extent required by its applicable terms or applicable law.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAILY WORD IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

UNPLUGGED DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, NON-INFRINGEMENT AND QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, UNPLUGGED DOES NOT WARRANT THAT DAILY WORD WILL IDENTIFY ALL INFORMATION AVAILABLE FROM YOUR DEVICE; THAT INFORMATION DISPLAYED BY DAILY WORD WILL ALWAYS BE COMPLETE OR ACCURATE; THAT DAILY WORD WILL OPERATE WITHOUT INTERRUPTION OR ERROR; THAT DAILY WORD WILL BE COMPATIBLE WITH EVERY DEVICE OR ANDROID VERSION; THAT DEFECTS WILL BE CORRECTED; OR THAT USE OF DAILY WORD WILL PREVENT DATA COLLECTION, TRACKING, SECURITY INCIDENTS OR PRIVACY RISKS.

NOTHING IN THIS AGREEMENT EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED UNDER APPLICABLE CONSUMER LAW.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNPLUGGED AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR USE, ARISING OUT OF OR RELATING TO DAILY WORD, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF UNPLUGGED ARISING OUT OF OR RELATING TO DAILY WORD OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (I) US$100 OR (II) THE AMOUNT, IF ANY, YOU PAID DIRECTLY TO UNPLUGGED FOR DAILY WORD DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE ABOVE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

22. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Unplugged and its affiliates from third-party claims resulting from your intentional unlawful use of Daily Word, your unauthorized monitoring of another person's device or data, or your material violation of this Agreement.

This Section does not require a consumer to indemnify Unplugged for Unplugged's own negligence or misconduct.

23. Informal Dispute Resolution

Before commencing arbitration or litigation concerning this Agreement or Daily Word, you and Unplugged agree to attempt in good faith to resolve the dispute informally.

You may send a written notice describing the dispute and requested relief to legal@unplugged.com. If the dispute has not been resolved within 30 days after receipt of the notice, either party may pursue the remedies available under the following Section.

24. Binding Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A COURT OR JURY.

To the extent permitted by applicable law, any dispute, claim or controversy arising out of or relating to Daily Word or this Agreement that cannot be resolved informally will be resolved by binding arbitration on an individual basis rather than in court.

For consumers in the United States, arbitration will be administered by the American Arbitration Association ("AAA") under its then-current Consumer Arbitration Rules and applicable Consumer Due Process Protocol.

The arbitration may be conducted through written submissions, remotely, or at a location reasonably convenient to you, as determined under the applicable AAA rules. Either party may bring an eligible individual claim in small-claims court instead of arbitration.

Nothing in this Agreement prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction where necessary to prevent imminent misuse of intellectual property, unauthorized access or other irreparable harm.

You may opt out of this arbitration agreement by sending written notice to legal@unplugged.com within 30 days after first accepting this Agreement. Your notice must identify the account or other information reasonably necessary for us to identify your acceptance of this Agreement and state that you are opting out of arbitration. Opting out will not affect your right to use Daily Word.

25. Class and Representative Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND UNPLUGGED AGREE THAT CLAIMS MAY BE BROUGHT AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING.

AN ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY'S INDIVIDUAL CLAIM.

If applicable law does not permit enforcement of this waiver or the arbitration provision in your jurisdiction, the affected dispute may proceed before a court having jurisdiction under applicable law.

26. Governing Law

This Agreement and disputes arising out of or relating to it will be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

However, if you are a consumer residing in a jurisdiction whose mandatory consumer-protection laws give you rights that cannot lawfully be waived by contract, this choice of law does not deprive you of those mandatory rights.

Where the arbitration agreement above is inapplicable or unenforceable, and except where mandatory consumer law provides otherwise, the state and federal courts located in Delaware will have exclusive jurisdiction.

27. Export and Sanctions Compliance

You may not use, export or re-export Daily Word in violation of applicable export-control, trade-sanctions or similar laws. Unplugged may restrict access to Daily Word where reasonably necessary to comply with applicable legal requirements.

28. Changes to this Agreement

We may update this Agreement from time to time. If a change materially affects your rights, we will provide notice where required by applicable law and may request that you accept the revised Agreement before continuing to use Daily Word.

The Effective Date shown below indicates when this Agreement was last materially revised.

29. Miscellaneous

If any provision of this Agreement is found unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect. Failure to enforce any provision is not a waiver.

You may not assign your rights under this Agreement without Unplugged's prior written consent. Unplugged may assign this Agreement in connection with a merger, acquisition, restructuring, sale of assets or similar transaction.

This Agreement, together with the Daily Word Privacy Policy and any additional terms expressly presented to you in connection with Daily Word, constitutes the entire agreement between you and Unplugged concerning Daily Word.
